Please read these Terms & Conditions ("Terms") carefully before using the Apex Digital AI Consulting LLC website or enrolling in any of our training courses. By accessing our website or enrolling in a course, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. About Us

Apex Digital AI Consulting LLC ("Apex Digital," "we," "our," or "us") is a training and consulting company that provides online and in-person educational courses focused on career development, technology fundamentals, and professional skills.

2. Eligibility

Our courses are open to anyone 18 years of age or older. Individuals under 18 may enroll only with the written consent of a parent or legal guardian. By enrolling, you confirm that you meet these requirements or have obtained the necessary consent.

3. Course Enrollment

Enrollment in a course constitutes an agreement to participate in good faith. When you enroll, you agree to:

• Provide accurate and complete personal information.
• Attend or access course sessions as scheduled.
• Engage respectfully with instructors and fellow participants.
• Complete any required pre-work or assessments in good faith.

Apex Digital reserves the right to refuse enrollment or remove a participant from a course at any time for conduct that is disruptive, disrespectful, or violates these Terms.

4. Course Format & Delivery

Courses are offered in two formats: online (delivered via video conferencing or a learning management system) and in-person (held at designated locations). The format of each course is specified at enrollment. Apex Digital reserves the right to convert in-person sessions to online delivery due to unforeseen circumstances, including but not limited to scheduling conflicts, health advisories, or venue unavailability.

5. Fees & Payment

Course fees are listed at the time of enrollment and are due prior to the course start date unless otherwise agreed in writing. Fees may vary by course format (online vs. in-person) and are subject to change. You will be charged the fee applicable at the time of your enrollment.

Some intro sessions and preview videos are offered free of charge. These do not grant access to full course content unless separately purchased.

6. Cancellations & Refunds

We understand that circumstances change. Our cancellation policy is as follows:

• More than 7 days before course start: Full refund, less any processing fees.
• 3–7 days before course start: 50% refund.
• Less than 3 days before course start: No refund. You may, however, apply the credit toward a future course.
• No-shows: No refund will be issued for participants who do not attend without prior notice.

If Apex Digital cancels or reschedules a course, enrolled participants will receive a full refund or the option to transfer to another session at no additional charge.

7. Intellectual Property

All course materials — including slide decks, videos, handouts, exercises, recordings, and written content — are the exclusive intellectual property of Apex Digital AI Consulting LLC and are protected by copyright law.

You may not:

• Copy, reproduce, distribute, or republish any course materials without written permission.
• Record live sessions (audio or video) without explicit prior consent from Apex Digital.
• Sell, sublicense, or commercially exploit any course content.
• Use course materials to create competing products or services.

Your enrollment grants you a limited, non-transferable, non-exclusive license to access and use course materials for your personal, non-commercial educational purposes only.

8. Code of Conduct

We are committed to providing a safe, inclusive, and respectful learning environment for all participants. All enrolled individuals are expected to:

• Treat instructors and fellow participants with courtesy and respect.
• Refrain from discriminatory, harassing, or abusive language or behavior.
• Avoid disrupting the learning experience of others.
• Maintain confidentiality of personal information shared by other participants during sessions.

Violations of this Code of Conduct may result in immediate removal from the course without refund.

9. Certificates & Completion

Certificates of completion may be issued for certain courses upon satisfying attendance and participation requirements. Apex Digital certificates are issued at our discretion and are not accredited academic qualifications unless explicitly stated. Certificates are for personal use and may not be falsified or misrepresented.

10. Third-Party Links & Services

Our website and course materials may contain links to third-party websites or platforms (such as YouTube). These links are provided for informational purposes only. Apex Digital is not responsible for the content, privacy practices, or accuracy of any third-party sites. Your use of third-party services is governed by their own terms and policies.

11. Disclaimer of Warranties

Our courses and website are provided on an "as is" and "as available" basis. While we strive to provide high-quality, accurate, and up-to-date content, Apex Digital makes no warranties or representations, express or implied, regarding:

• The accuracy, completeness, or suitability of course content for any particular purpose.
• Specific career outcomes or job placement results from completing any course.
• Uninterrupted or error-free access to online course materials.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Apex Digital AI Consulting LLC and its affiliates, instructors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of income, loss of data, or loss of opportunity — even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from these Terms or your use of our services shall not exceed the amount you paid for the relevant course.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the state in which Apex Digital AI Consulting LLC is registered. Any disputes arising under these Terms shall be resolved through good-faith negotiation, and if necessary, through binding arbitration under applicable law.

Apex Digital reserves the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date.
